The agreement
These Terms form a legally binding agreement between you and Decibel Labs. They include any additional policies referenced here (such as our Privacy Policy) and any product-specific terms presented to you for a particular feature (such as the Mix & Master order form).
If you’re entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and “you” refers to that organization.
Eligibility and account
You must be at least 13 years old (or 16 in the EEA/UK, or the minimum age in your country) to use the Service. If you’re under the age of majority, a parent or guardian must agree to these Terms on your behalf.
You’re responsible for the security of your account:
- Keep your password and 2FA factors secret.
- Notify us promptly if your account is compromised.
- You’re responsible for activity that happens under your account.
We may require email verification before you can access certain features.
License to use the service
Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own non-commercial and lawful business use. You may not resell, sublicense, or commercially exploit any part of the Service unless we specifically agree in writing.
Plugin licenses and downloads
When you buy a plugin, we grant you the license described in the plugin’s product page and license key. Unless we state otherwise:
- A plugin license is a lifetime, single-user license for personal and commercial music-production use.
- You may install the plugin on multiple computers you personally own and operate.
- You may not redistribute, resell, share license keys, or reverse-engineer the plugin.
- License keys are tied to your account. Sharing keys may result in revocation without refund.
- We may issue updates from time to time. Updates are provided “as is” under the same license.
Trials
If we offer a free trial for a plugin, the trial license expires automatically at the trial end date. Continuing to use the plugin after that point requires a paid license.
Training, courses, and competitive play
Our training tools let you compete on leaderboards and earn LP, ranks, and achievements. By participating, you agree that:
- Cheating, scripting, multi-accounting, or manipulating outcomes is prohibited and may result in score resets, rank loss, or account termination.
- We may adjust ranks, leaderboards, and rewards to preserve fair play.
- Course content is licensed for your personal viewing. You may not record, redistribute, or publicly perform course videos.
- Achievements, ranks, and LP have no cash value and may be reset or removed at our discretion.
Mix & Master service
Our Mix & Master service connects you with engineers who mix and/or master your audio. When you submit a project:
- Files you provide: you confirm that you own or have all necessary rights to the audio you upload, and that processing it does not infringe anyone’s rights.
- Revisions: each order includes the number of revisions stated on the order page. Additional revisions may incur fees.
- Auto-complete: orders in “Review” status auto-complete 15 days after delivery if you don’t request a revision or accept the delivery.
- Ownership: you own the resulting mix/master. We retain the right to reference the engagement (without revealing your files or names) as part of our portfolio unless you opt out in writing.
- Refunds: see the “Billing” section.
- Storage: source files and stems are retained for a reasonable period after delivery and then deleted on a rolling basis.
Distribution
Distribution is currently in waitlist. Once launched, additional service-specific terms will apply. Joining the waitlist does not guarantee access and does not create any commitment to release your music.
Your content and conduct
You may post content (posts, comments, project files, replies) to the Service (“User Content”). You keep ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting), and display your User Content to operate and improve the Service. This license ends when you delete the User Content, except to the extent we have to retain it to comply with law or where it has been shared with other users.
You agree not to
- Post content that infringes intellectual-property rights, violates privacy or publicity rights, or that you don’t have the right to share.
- Post unlawful, defamatory, harassing, threatening, hateful, sexually explicit, or violent content.
- Spam, scam, phish, or impersonate any person or entity.
- Upload malware, attempt to gain unauthorized access, probe for vulnerabilities, or scrape the Service.
- Use the Service to train machine-learning models or to build a competing service.
- Circumvent license enforcement, rate limits, or other technical measures.
We may remove content and suspend or terminate accounts that violate these rules.
Billing, subscriptions, and refunds
One-time purchases
Plugin and Mix & Master purchases are processed by Stripe. Prices are shown in USD unless otherwise stated. Applicable taxes may be added at checkout.
Subscriptions
If you subscribe to a plan, you authorize us (through Stripe) to charge the applicable fee on a recurring basis until you cancel. Your subscription will automatically renew at the end of each billing cycle. You can cancel anytime from your settings; cancellation takes effect at the end of the current billing cycle. Where local law gives you a withdrawal right (for example, the EU 14-day right of withdrawal), you can exercise it by contacting us.
Refunds
- Plugins: due to their digital nature and the fact that the license key is delivered immediately, plugin purchases are generally non-refundable. We may grant refunds in our sole discretion (for example, accidental purchases or technical issues we can’t resolve).
- Mix & Master: refunds may be available if work has not started. Once an engineer has begun work, refunds are issued on a case-by-case basis and may be partial.
- Subscriptions: we do not refund partial billing periods.
- Nothing in this section overrides any non-waivable rights you have under applicable consumer-protection law.
Failed payments
If a payment fails, we may suspend access to paid features until payment succeeds. After repeated failures we may close your account.
Price changes
We may change prices going forward. We’ll give you reasonable advance notice (at least 30 days) before any change applies to your active subscription.
Our intellectual property
Decibel Labs, our logos, plugins, course videos, training exercises, and all other content we provide are owned by Decibel Labs or our licensors and are protected by intellectual-property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without our prior written permission.
If you provide feedback or suggestions, we may use them without restriction or compensation.
Copyright (DMCA)
We respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (DMCA) and similar laws in other jurisdictions.
To submit a notice of claimed infringement, email [email protected] with:
- Your physical or electronic signature.
- Identification of the copyrighted work you claim is infringed.
- The URL or location on the Service of the allegedly infringing material.
- Your name, address, telephone number, and email address.
- A statement, under penalty of perjury, that you are the owner (or authorized to act on behalf of the owner) of the right being infringed, and that the information in the notice is accurate.
We may remove or disable access to material subject to a valid notice. Repeat infringers’ accounts will be terminated. If you believe content was removed in error, you may submit a counter-notice to the same address.
Suspension and termination
You may stop using the Service and delete your account at any time from your settings. We may suspend or terminate your access at any time, with or without notice, if:
- You violate these Terms or our policies.
- Your account is involved in fraud, abuse, or activity we reasonably believe poses risk to us, our users, or third parties.
- We’re required to do so by law.
- We discontinue a feature, service, or the platform as a whole.
On termination, your right to access the Service ends. Sections that by their nature should survive (e.g., IP, disclaimers, liability, indemnity, disputes) will survive.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that the Service is free of viruses or other harmful components. You use the Service at your own risk.
Some jurisdictions don’t allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DECIBEL LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.
These limits apply even if a remedy fails of its essential purpose. Some jurisdictions don’t allow these limits, in which case they apply to the maximum extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless Decibel Labs and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of:
- Your User Content or use of the Service.
- Your violation of these Terms or any applicable law.
- Your violation of any third-party right, including intellectual property or privacy.
Disputes and governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
Informal resolution. Before filing a claim, you agree to try to resolve the dispute informally by emailing [email protected]. We’ll do the same.
Class-action waiver. To the maximum extent permitted by law, you and Decibel Labs agree to bring claims only on an individual basis and not as a plaintiff or class member in any purported class or representative proceeding.
Nothing here prevents either party from seeking injunctive relief in a court of competent jurisdiction.
Changes to these terms
We may update these Terms from time to time. If we make material changes, we’ll give you notice (for example, by email or a banner in the app) before the changes take effect. Your continued use of the Service after the effective date means you accept the updated Terms. If you don’t accept, you must stop using the Service.
Miscellaneous
- Entire agreement. These Terms (together with any product-specific terms and our Privacy Policy) are the entire agreement between you and us regarding the Service.
- Severability. If any part of these Terms is held unenforceable, the rest remains in force.
- No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment. You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events outside its reasonable control.
- No agency. These Terms don’t create any partnership, joint venture, employment, or franchise relationship.
